Understanding the Pennsylvania Agreement of Sale
Finding the right home or receiving the right offer is exciting. The Agreement of Sale is where everything starts to take shape, laying out the terms, deadlines, and protections that guide the transaction from contract to closing.
At The Moio-Iseman Group, we look at it that way from the beginning. Price matters, but so do financing, inspections, appraisal terms, deposits, seller assistance, settlement timing, and the other details that determine how strong, or risky, an offer really is.
It’s More Than the Purchase Price
It’s easy to focus on the number at the top of the offer, but two offers at the same price can look very different once you read the terms.
Some of the areas we review closely include:
- Purchase price and deposit: The offer amount and hand money terms.
- Settlement: When the sale closes and possession transfers.
- Financing: Loan type, deadlines, and financing requirements.
- Appraisal: What happens if the property does not appraise at the purchase price.
- Inspections: Which inspections are elected, the deadlines, and the buyer’s options.
- Seller assistance: Any contribution toward allowable buyer costs.
- Transfer taxes: How those costs are divided.
- Additional terms: Any conditions specific to the property or transaction.
Those are not simply boxes to check. They are negotiating points.
A shorter inspection period, for example, may strengthen a buyer’s offer, but it also reduces the buyer’s time to investigate the property. Seller assistance may reduce the buyer’s cash needed at closing, but it can also affect how a seller views the overall offer. MIG’s job is to help clients understand those tradeoffs before they make them.
Contingencies and Deadlines Matter
Contingencies are often described simply as buyer protections, but there is more to them than that. Financing, inspections, appraisal, and the sale or settlement of another property can all create specific rights, obligations, and deadlines for the parties.
And the deadlines matter.
Missing one can change the options available to a buyer or seller. That is why contract management does not end when the Agreement is signed. MIG tracks the important dates and responsibilities throughout the transaction.
A good contract does not protect you simply because you signed it. It protects you because the right terms were negotiated, written correctly, and followed.
The Seller’s Disclosure Matters, Too
For buyers, the Seller’s Property Disclosure is an important source of information, but it is not a substitute for inspections. We review it for issues that may require additional questions or closer investigation.
For sellers, accuracy matters just as much. The goal is not to make the property look perfect. It is to disclose what is known, answer the required questions honestly, and avoid creating unnecessary problems later.
The Agreement Is Part of the Negotiation
One of the most common mistakes in real estate is evaluating an offer by price alone.
A $300,000 offer with strong financing, limited contingencies, and a clean timeline may be very different from another $300,000 offer with more uncertainty attached to it.
For buyers, our goal is to write an offer that protects their interests while remaining competitive.
For sellers, our goal is to evaluate the entire offer, not simply the purchase price, so they understand what they are actually being asked to accept.
That is a big part of the MIG Standard.
What the MIG Standard Means
We do not hand clients an Agreement of Sale and simply point to the signature line.
We explain the important terms, discuss the decisions that need to be made, and make sure our clients understand the practical impact of those decisions.
And when a question crosses from real estate advice into legal advice, we say so. Good representation also means knowing when an attorney should be involved.
The Agreement of Sale is one of the most important documents in the transaction.
You should understand what it says, why it says it, and what it means for you before you sign it.
